Release Agreement for Spotlite Cover Photo Contest
This Release Agreement (“Agreement”) is entered into on the date of submission by and between:
Participant: The individual submitting a photo for the Spotlite Cover Photo Contest (hereinafter referred to as “Participant”).
Spotlite: Spotlite, its parent company, affiliates, subsidiaries, successors, assigns, and representatives (hereinafter referred to as “Spotlite”).
1. Grant of Rights
By submitting a photo to the contest, the Participant hereby grants Spotlite a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the submitted photo in connection with the contest, including but not limited to:
1.1. Promotional Use: The photo may be used for promotional purposes in print, online, or other media formats related to the contest or Spotlite.
1.2. Publication: If selected, the photo may be published on the cover of Spotlite, in promotional materials, or on Spotlite’s website and social media platforms.
1.3. Archival Use: Spotlite may retain a digital copy of the submitted photo for archival and reference purposes.
2. Ownership of Photo
2.1. The Participant retains full ownership of the submitted photo.
2.2. The Participant affirms that the photo is an original work created by them or submitted with the permission of the original creator.
3. Warranty and Representations
By signing this Agreement, the Participant warrants and represents that:
3.1. They are the rightful owner of the photo or have obtained all necessary permissions from the copyright holder to submit the photo.
3.2. The photo does not infringe upon any intellectual property rights, privacy rights, or other legal rights of any third party.
3.3. The photo does not contain offensive, defamatory, or unlawful content.
4. Release of Liability
The Participant releases Spotlite from any claims, damages, or liabilities arising from the use of the submitted photo in accordance with the terms of this Agreement.
5. Publicity
The Participant consents to the use of their name, likeness, and biographical information in connection with the publication and promotion of the submitted photo, without additional compensation.
6. Indemnification
The Participant agrees to indemnify and hold Spotlite harmless from any claims, actions, or damages resulting from the breach of the warranties and representations made in this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States of America.
8. Acknowledgment
By submitting a photo to the Spotlite Cover Photo Contest, the Participant acknowledges that they have read, understood, and agreed to the terms and conditions of this Release Agreement.
